Vendor Policies & Procedures

The policies and procedures listed below (“Vendor Policies & Procedures”) are a supplement to the Sepi Vendor Services Agreement. The Vendor Policies & Procedures are subject to change at any time by Sepi.

SECTION 1. LISTINGS

1.1 Creating and Managing Your Listing. The Sepi Platform provides tools that make it easy for you to set up and manage a listing (“Listing”). Your Listing must include complete and accurate information about your Vendor Experiences, your price, other charges like cancellation fees, upgrade fees, and any rules or requirements that apply to your clients’ or Listing. You are responsible for keeping your Listing information (including calendar availability) and content (such as photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Vendor Services and suggest you carefully review policy terms and conditions including coverage details and exclusions.

1.2 Fully Educate and Inform Clients. In each and every Listing, you must, when applicable, fully educate and inform Client about 1) any risks inherent or incidental to the Experience, 2) any requirements for participation, such as minimum age, related skills or level of fitness, and 3) anything else they may need to know to safely participate in the Experience (including dress codes, equipment, special certifications or licenses, etc.).

1.3 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Vendor Experiences. Check your local rules to learn what rules apply to the Vendor Services you plan to offer. The information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations, needs for any and all licenses, permits or registrations, if so required. You are responsible for handling and using personal data of Clients and others in compliance with applicable privacy laws and this Agreement, including our Vendor Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

1.4 Search Ranking. The ranking of Listings in search results on the Sepi Platform depends on a variety of factors, including these main parameters:

Client search parameters (e.g., number of Clients, time and duration of the trip, price range);
Listing characteristics (e.g., price, calendar availability, number and quality of images, Reviews, type of Vendor Services, Vendor status, age of the Listing, average Client popularity);
Client booking experience (e.g., customer service and cancellation history of the Vendor, ease of booking);
Vendor requirements (e.g., minimum or maximum nights, booking cut-off time); and
Client preferences (e.g., previous trips, saved Listings, location from where the Client is searching).

Search results may appear differently on our mobile application than they appear on our website. Sepi may allow Vendors to promote their Listings in search or elsewhere on the Sepi Platform by paying an additional fee.

1.5 Vendor Responsibilities. Vendor is responsible and liable for its own acts and omissions and are also responsible for the acts and omissions of anyone allowed to participate in providing the Vendor Services. Vendors are responsible for setting its price and establishing rules and requirements for the Vendor Listing. Vendor must describe all fees and charges in your Listing description and may not collect any additional fees or charges outside the Sepi Platform. Vendor shall not encourage Clients to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Sepi Platform.

1.6 Equipment. Vendor is responsible for providing all equipment, including supplies, vehicles, venues and other materials (“Equipment”) necessary to host Vendor Experience. Vendor is solely responsible for ensuring that the Equipment used in its Experience is in good working order and conforms to all laws pertaining to safety, equipment, inspection, and operational capability. Except as otherwise required by law, Vendor assumes all risk of damage or loss to your Equipment.

1.7 Vendoring as a Team or Organization. If Vendor works with a co-vendor or Vendor as part of a team, business, or other organization, the entity and everyone who participates in providing Vendor Services is responsible and liable as a Vendor under these Terms. If Vendor accepts terms or enter contracts, Vendor represents and warrants that it is authorized to enter contracts for and bind Vendor’s team, business or other organization, and that each entity used is in good standing under the laws of the place where it is established. If Vendor perform other functions, Vendor represents and warrants that it is authorized to perform those functions. If Vendor instructs Sepi to transfer a portion of Vendor’s payout to a co-vendor or other Vendors, or to send payments to someone else, Vendor must be authorized to do so, and is responsible and liable for the payment amounts and accuracy of any payout information Vendor provides.

1.8 Vendor Assumption of Risk. Vendor ACKNOWLEDGE THAT VENDORING CARRIES INHERENT RISKS AND AGREE THAT Vendor ASSUMES THE ENTIRE RISK ARISING OUT OF ACCESS TO AND USE OF THE SEPI PLATFORM, OFFERING VENDOR SERVICES, OR ANY INTERACTION VENDOR HAS WITH OTHER MEMBERS WHETHER IN PERSON OR ONLINE. VENDOR AGREES THAT IT HAS HAD THE OPPORTUNITY TO INVESTIGATE THE SEPI PLATFORM AND ANY LAWS, RULES, REGULATIONS, OR OBLIGATIONS THAT MAY BE APPLICABLE TO ITS LISTINGS OR VENDOR SERVICES AND THAT VENDOR IS NOT RELYING UPON ANY STATEMENT OF LAW MADE BY SEPI.

SECTION 2. MEMBER ACCOUNTS

Account Registration. Vendor must register an account to access and use many features of the Sepi Platform.

Vendor Age. Vendor is only permitted for legal entities, partnerships and natural persons who are 18 years or older.

Lawful Registration. Vendor represents and warrants that it is not a person or entity barred from using the Sepi Platform under the laws of the United States, its place of business, or any other applicable jurisdiction. Vendor must provide accurate, current, and complete information during registration and keep your account information up-to-date.

Number of Accounts & Transferability. Vendor may not register more than one account or transfer its account to anyone else.

Credentials Confidentiality & Security. Vendor is solely responsible for maintaining the confidentiality and security of its account credentials and may not disclose its credentials to any third party.

Lost or Stolen Credentials. Vendor is responsible and liable for activities conducted through its account and must immediately notify Sepi if it suspects that its credentials have been lost, stolen, or Vendor’s account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask Vendor to provide identification or other information, (ii) undertake checks designed to help verify Vendor identity or background, (iii) screen Vendor against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

SECTION 3. SEPI PLATFORM RULES

Rules. – Vendor must follow these rules and must not help or induce others to break or circumvent these rules:
Act with integrity and treat others with respect.
Do not lie, misrepresent something or someone, or pretend to be someone else.
Be polite and respectful when you communicate or interact with others.
Follow our Non-Discrimination Policy and do not discriminate against or harass others.
Do not scrape, hack, reverse engineer, compromise or impair the Sepi Platform or other infrastructure owned by Sepi.
Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Sepi Platform.
Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Sepi Platform or Content.
Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Sepi Platform.
Do not take any action that could damage or adversely affect the performance or proper functioning of the Sepi Platform.
Only use the Sepi Platform as authorized by these Terms or another agreement with us.
You may only use another Member’s personal information as necessary to facilitate a transaction using the Sepi Platform as authorized by these Terms.
Do not use the Sepi Platform, our messaging tools, or Members’ personal information to send commercial messages without the recipient’s express consent.
You may use Content made available through the Sepi Platform solely as necessary to enable your use of the Sepi Platform as a Client or Vendor.
Do not use Content unless you have permission from the Content owner, or the use is authorized by us in these Terms or another agreement you have with us.
Do not request, make, or accept a booking or any payment outside of the Sepi Platform to avoid paying fees, taxes or for any other reason. 
Do not require or encourage Clients to open an account, leave a review, complete a survey, or otherwise interact with a third-party website, application, or service before, during or after a Vendor Service, unless authorized by Sepi.
Do not engage in any practices that are intended to manipulate our search algorithm.
Do not book Vendor Services unless you are using the Vendor Services.
Do not use, copy, display, mirror or frame the Sepi Platform, any Content, any Sepi branding, or any page layout or design without our consent.
Honor your legal obligations.
Understand and follow the laws that apply to you, including privacy, data protection, and export laws.
If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.
Read and follow our complete Policies and Procedures and all related standards.
Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your Vendor Service.
Do not use the name, logo, branding, or trademarks of Sepi or others without permission.
Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Sepi branding.
Do not offer Vendor Services that violate the laws or agreements that apply to you.
Do not offer or solicit prostitution or participate in or facilitate human trafficking.

3.2 Reporting Violations. If Vendor believes that a Member, Listing or Content poses an imminent risk of harm to a person or property, Vendor should immediately contact local authorities before contacting Sepi. In addition, if Vendor believes that a Member, Listing or Content has violated our basic standards, Vendor should report its concerns to Sepi. If Vendor reported an issue to local authorities, Sepi may request a copy of that report. Except as required by law, Vendor agrees that Sepi are not obligated to act in response to any report.

3.3 Copyright Notifications. If Vendor believes that Content on the Sepi Platform infringes copyrights, Vendor must notify Sepi immediately.

SECTION 4. REVIEWS

After each Vendor Service, Clients and Vendors will have an opportunity to review and respond to each other. Vendor’s Reviews must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy (see each for more detail). Reviews are not verified by Sepi for accuracy and may be incorrect or misleading.

SECTION 5. BASIC STANDARDS

Sepi’s basic standards are a continually evolving document as we always strive to meet the basic needs of safety, security, fairness, intentionality, and reliability.

5.1 Safety. Sepi requires that Vendor refrains from endangering or threatening anyone, committing physical or sexual assault, sexual harassment, domestic violence, robbery, or other acts of violence, or holding anyone against their will. Threats of violence or self-harm are not condoned either. Vendor is also to refrain from creating a hazardous situation through unsecured weapons, disease risks or conditions such as dangerous animals or increased ability to start a fire or impede escape routes.

5.2 Security. Sepi requires that Vendor refrains from theft, vandalism or extortion, spam, phishing, fraud or violating others’ privacy or intellectual property rights.

5.3 Fairness. Sepi recognizes and values diversity, inclusion, uniqueness, and authenticity. Vendor is therefore to refrain from discriminatory or hate speech, bullying or harassing others.

5.4 Intentionality. Sepi encourages sincere, authentic, and intentional experiences. It is critical that Vendor is intentional in its representations of Vendor and Vendor Experiences.

5.5 Reliability. Sepi and the greater community depend on each other’s reliability and adherence to all commitments necessary for a successful Experience. That includes providing doable Experiences, not breaking commitments, cancelling events or being unresponsive.

SECTION 6. CONTENT

Parts of the Sepi Platform enable Vendor to provide feedback, text, photos, audio, video, information, and other content (collectively, “Content”). By providing Content, in whatever form and through whatever means, Vendor grants Sepi a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish, and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Where Sepi pays for the creation of Content or facilitates its creation, Sepi may own that Content, in which case supplemental terms or disclosures will say that. Vendor is solely responsible for all Content that Vendor provides and warrants that it either owns it or is authorized to grant Sepi the rights described in these Terms. Vendor is responsible and liable if any of its Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with Sepi Review and Content Policy and Non-Discrimination Policy (see for more detail) which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. Vendor agrees that Sepi may make available services or automated tools to translate Content and that its Content may be translated using such services or tools. Sepi does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.
SECTION 7. SEPI’S ROLE
7.1 Sepi offers Vendor the right to use a platform that enables Members to publish, offer, search for, and book Vendor Services. While Sepi works hard to ensure our members have great experiences using Sepi, Sepi does not and cannot control the conduct of Clients and Vendors. Vendor acknowledges that Sepi has the right, but does not have any obligation, to monitor the use of the Sepi Platform and verify information provided by our members. For example, Sepir may review, disable access to, remove, or edit Content to: (i) operate, secure and improve the Sepi Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria. Members acknowledge and agree that Sepi administers its Policies and Procedures, and any related standards, including decisions about whether and how to apply them to a particular situation, at its sole discretion. Members agree to cooperate with and assist Sepi in good faith, and to provide Sepi with such information and take such actions as may be reasonably requested by Sepi with respect to any investigation undertaken by Sepi regarding the use or abuse of the Sepi Platform. Sepi is not acting as an agent for any Member except for where Sepi Payments acts as a collection agent as provided in the Payments Terms.
7.2 Sepi Platform and Content “As Is”. SEPI PROVIDES THE SEPI PLATFORM AND ALL CONTENT “AS IS” WITHOUT WARRANTY OF ANY KIND AND SEPI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. FOR EXAMPLE, AND NOT BY WAY OF LIMITATION: (I) SEPI DOES NOT ENDORSE OR WARRANT THE EXISTENCE, CONDUCT, PERFORMANCE, SAFETY, QUALITY, LEGALITY OR SUITABILITY OF ANY CLIENT, VENDOR, VENDOR SERVICES, LISTINGS OR THIRD PARTY; (II) SEPI DOES NOT WARRANT THE PERFORMANCE OR NON-INTERRUPTION OF THE SEPI PLATFORM; AND (III) SEPI DOES NOT WARRANT THAT VERIFICATION, IDENTITY OR BACKGROUND CHECKS CONDUCTED ON LISTINGS OR MEMBERS (IF ANY) WILL IDENTIFY PAST MISCONDUCT OR PREVENT FUTURE MISCONDUCT. ANY REFERENCES TO A MEMBER OR LISTING BEING “VERIFIED” (OR SIMILAR LANGUAGE) INDICATE ONLY THAT THE MEMBER OR LISTING OR SEPI HAS COMPLETED A RELEVANT VERIFICATION OR IDENTIFICATION PROCESS AND NOTHING ELSE. THE DISCLAIMERS IN THESE TERMS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. IF VENDOR HAS STATUTORY RIGHTS OR WARRANTIES SEPI CANNOT DISCLAIM, THE DURATION OF ANY STATUTORILY REQUIRED RIGHTS OR WARRANTIES WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
SECTION 8. TAXES
8.1 Vendor Taxes. As a vendor, Vendor is responsible for determining and fulfilling all obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT, sales tax, or other indirect taxes, occupancy taxes, tourist, income, or other taxes (“Taxes”).

8.2 Collection and Remittance by Sepi. In jurisdictions where Sepi facilitates the collection and/or remittance of Taxes on behalf of Vendors, Vendor instructs and authorizes Sepi to collect Taxes on its behalf, and/or to remit such Taxes to the relevant Tax authority. Any Taxes that are collected and/or remitted by Sepi are identified to Members on their transaction records, as applicable. Sepi may seek additional amounts from Members (including by deducting such amounts from future payouts) if the Taxes collected and/or remitted are insufficient to fully discharge that Members’ tax obligations, and Vendor agrees that Vendor’s sole remedy for Taxes collected by Sepi is a refund from the applicable Tax authority.

Vendor acknowledges and agrees that Sepi retains the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

8.3 Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about Vendor, or withhold Taxes from payouts to Vendor, or both. If Vendor fails to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. Vendor agrees that Sepi may issue on Vendor’s behalf invoices or similar documentation for VAT, GST, consumption, or other Taxes for Vendor Services to facilitate accurate tax reporting by Vendor, our clients, and/or their organizations.

SECTION 9. VENDOR PRIVACY STANDARDS

As a Vendor you will receive and use Client’s personal information to manage Vendor reservations and deliver your Host Service. Please remember that Vendor is responsible for complying with applicable privacy laws when it handles and processes personal information. Vendor should only use personal information it receives through the Sepi Platform as necessary to manage its reservations, comply with applicable laws and deliver its Experience.

SECTION 10. ACCEPTANCE

Upon signature, Company Name has read, fully understands, and agreed to all the Sepi Vendor Policies & Procedures including all additional sub policies and definitions, executed by their authorized representative as of the dates indicated below.
